Welcome to Arvi Medical Transcription. These Terms and Conditions ("Terms") govern your access to and use of our healthcare transcription and documentation platform ("Platform"). Please read them carefully, as they form a legally binding agreement between you and Arvi Medical Transcription.

By accessing or using the Platform, you confirm that you understand and agree to comply with these Terms. If you do not agree, you must not use the Platform.

1. Definitions

  • “We”, “our”, or “us” refers to Arvi Medical Transcription Pty Ltd.
  • “You” or “User” refers to any healthcare professional, administrator, or authorised entity using the Platform.
  • “Content” means any patient data, audio files, transcriptions, clinical notes, or other materials uploaded, input, or generated via the Platform.
  • “Services” means the suite of AI-powered transcription, documentation, and related features provided via the Platform.

2. Medical Disclaimer and Intended Use

  • Arvi  Medical Transcription is a clinical documentation tool intended solely for use by registered healthcare professionals. The Platform provides audio recording, transcription, and drafting of clinical notes and correspondence.
  • Arvi Medical Transcription is not a medical device. It does not provide medical advice, diagnosis, treatment recommendations, clinical decision support, or any interpretation of clinical data. It is not regulated as a medical device under the Australian Therapeutic Goods Act 1989 or by the Therapeutic Goods Administration (TGA).
  • All transcriptions, notes, letters, and other content generated by the Platform — including any AI-generated output — are drafts only. They must be independently reviewed, verified, edited where necessary, and approved by a qualified healthcare professional before being relied upon for any clinical purpose, included in a patient record, or shared with any third party.
  • The user (the healthcare professional) retains full responsibility and professional accountability for the accuracy, completeness, and clinical appropriateness of any content generated using the Platform. Arvi Medical Transcription accepts no liability for clinical decisions made on the basis of Platform output.

3. Account registration and access

To use the Platform, you must create an account. You agree to:

  • Provide accurate and complete registration information.
  • Keep your login credentials confidential and secure.
  • Notify Arvi Medical Transcription immediately of any unauthorised access, suspected breach, or misuse of your account.

We reserve the right to suspend or terminate your access if:

  • There is a violation of these Terms.
  • Account misuse, fraud, or unauthorised data access is suspected.
  • Such action is necessary to protect the integrity of the Platform or other users.

4. Platform use and restrictions

The Platform is to be used strictly for lawful, clinical, and professional purposes. You must not:

  • Use the Platform for any illegal, harmful, or malicious purposes.
  • Attempt to decompile, reverse-engineer, or otherwise interfere with the Platform’s underlying systems..
  • Introduce any form of malware, viruses, or automated scripts intended to disrupt or damage services.
  • Use automated means (including bots or scrapers) to access or extract data from the Platform without permission.
  • Upload or store content that infringes on intellectual property rights or violates Australian law.

5. Data ownership and confidentiality

  • All patient-related data and content you upload or generate remains your property or the property of your healthcare organisation.
  • Arvi Medical Transcription acts strictly as a data processor, not a controller, and only accesses data for the purpose of delivering services or resolving technical issues.
  • We do not share, sell, or use your data for any secondary commercial purposes.
  • Confidentiality obligations extend to all staff, contractors, and technology partners involved in service delivery, under enforceable non-disclosure agreements.

6. Privacy and data security

We are committed to maintaining industry-grade privacy and security standards, including but not limited to:

  • Hosting infrastructure located within Australia to ensure compliance with local data residency requirements.
  • AES-256 encryption for data both in transit and at rest.
  • Multi-layered access controls and audit logging to detect and prevent unauthorised access.

You are responsible for adhering to relevant health privacy regulations, such as the Australian Privacy Principles (APPs) and, if applicable, any other regional healthcare data standards.

7. Subscription, fees, and billing

Where applicable:

  • Our services may be offered under monthly or annual subscription plans, billed in Australian Dollars (AUD).
  • Invoices are due on the date indicated, and failure to make timely payments may result in suspension of your account.
  • Fees are non-refundable unless explicitly required by law.
  • Pricing changes will be communicated with at least 30 days' notice prior to renewal, and you may cancel your plan before the renewal date to avoid incurring updated fees.

8. Auto-Renewing Subscriptions (Apple App Store)

Subscriptions purchased through the Apple App Store are auto-renewable. Payment will be charged to your Apple ID account at the confirmation of purchase. Your subscription automatically renews at the end of each billing period (monthly or annual, as selected) unless auto-renew is turned off at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the price of the subscription tier you selected.

You can manage your subscription, view your subscription status, or turn off auto-renewal at any time by going to Settings → [your Apple ID name] → Subscriptions on your iOS device, or by visiting the App Store. Once a subscription period has started, no refunds will be provided for any unused portion, except where required by applicable law.

9. Service availability and maintenance

  • While we aim for a minimum 99.9% service uptime, we do not guarantee uninterrupted access.
  • Scheduled maintenance or updates may cause temporary downtime. Critical patches may be applied without notice in urgent scenarios.
  • We strive to notify users of known issues or outages via email or the Platform dashboard.

10. Intellectual property

  • All intellectual property rights in the Platform, including but not limited to software code, UI design, branding elements, and training models, remain the exclusive property of Arvi Medical Transcription.
  • You are granted a limited, non-transferable, revocable license to use the Platform for lawful and authorised clinical purposes only.
  • You must not replicate, reproduce, distribute, or create derivative works from any part of the Platform without prior written consent.

11. Disclaimers and limitation of liability

  • The Platform is provided “as is” and “as available.” While we take reasonable steps to ensure functionality, we do not guarantee accuracy, performance, or fitness for your specific clinical use case.
  • Arvi Medical Transcription does not offer medical advice, diagnosis, or treatment recommendations.
  • To the fullest extent permitted by law, we disclaim all liability for indirect, incidental, or consequential damages, including loss of data or business interruption.
  • Our total liability under these Terms is limited to the amount paid by you in subscription fees over the preceding 12 months.

12. Termination and suspension

We reserve the right to suspend or permanently terminate access to the Platform in cases of:

  • Breach of these Terms or applicable laws.
  • Security risks or threats to service integrity.
  • Legal or regulatory obligations requiring suspension.

Upon termination:

  • Your access will be revoked.
  • Data retention or deletion will occur in accordance with applicable law and our internal data retention policy.
  • You may request deletion of your data, unless legally required to retain it.

13. Use of the App Through the Apple App Store

If you downloaded the Arvi Health mobile application from the Apple App Store, the following terms apply to you in addition to all other terms of this Agreement. In the event of any conflict between this Section 13 and the remainder of this Agreement, this Section 13 shall control with respect to your use of the iOS application.

  • 13.1 Acknowledgement. You acknowledge that this Agreement is concluded between you and Arvi Medical Transcription Pty Ltd only, and not with Apple Inc. ("Apple"). Arvi Medical Transcription Pty Ltd, not Apple, is solely responsible for the App and the content thereof.
  • 13.2 Scope of Licence. The licence granted to you for the App is limited to a non-transferable licence to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • 13.3 Maintenance and Support. Arvi Medical Transcription Pty Ltd is solely responsible for providing any maintenance and support services with respect to the App. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
  • 13.4 Warranty. Arvi Medical Transcription Pty Ltd is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
  • 13.5 Product Claims. You and Arvi Medical Transcription Pty Ltd acknowledge that Arvi Medical Transcription Pty Ltd, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
  • 13.6 Intellectual Property Rights. You and Arvi Medical Transcription Pty Ltd acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Arvi Medical Transcription Pty Ltd, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.
  • 13.7 Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • 13.8 Third-Party Beneficiary. You and Arvi Medical Transcription Pty Ltd acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

14. Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia. Any disputes, claims, or proceedings arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of NSW.

15. Amendments to these terms

We may update or modify these Terms periodically. All changes will be posted to this page with an updated “Last Updated” date. If the changes are material, we will notify users via the Platform or registered email address. Continued use of the Platform constitutes acceptance of the revised Terms.
